The Services are provided to you on an “as is” basis without warranties from Catalis of any kind, either express or implied.

WHILE CATALIS ATTEMPTS TO MAKE YOUR ACCESS TO AND USE OF THE CATALIS SERVICES SAFE, CATALIS DOES NOT REPRESENT OR WARRANT THAT THE CATALIS SERVICES OR THE CONTENT ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

When you leave the Site, our terms and policies no longer govern. LIMITATION OF LIABILITY; INDEMNITY

You waive and shall not assert any claims or allegations of any nature whatsoever against Catalis, its affiliates or subsidiaries, any of their successors or assigns, or any of their respective officers, directors, agents, or employees (collectively, the “Released Parties”) arising out of or in any way relating to your use of the Services, including, without limitation, any claims or allegations relating to infringement of proprietary rights, or allegations that any Released Party has or should indemnify, defend or hold harmless you or any third party from any claim or allegation arising from your use of Services. You use Catalis Services at your own risk.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF CATALIS WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE, WHETHER ACTIVE, PASSIVE OR IMPUTED), PRODUCT LIABILITY, STRICT LIABILITY OR OTHER THEORY, ARISING OUT OF OR RELATING TO THE USE OF SERVICES EXCEED ANY COMPENSATION PAID BY YOU FOR ACCESS TO THE SERVICES.

You shall defend, indemnify and hold harmless Catalis and the other Released Parties from any loss, damages, liabilities, costs, expenses, claims and proceedings arising out of your breach of any representation, warranty or covenant contained herein or your use of the Content and the Catalis Services.

USER REGISTRATION AND ACCOUNT SECURITY

To access certain features of our Services, you may be required to register for a User Account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your User Account credentials and for all activities that occur under your User Account. You agree to notify us immediately of any unauthorized use of your User Account or any other breach of security. You may not share your User Account credentials with any third party. You are solely responsible for any activities or actions taken under your User Account, whether or not you have authorized such activities or actions. We reserve the right to disable any User Account at any time if, in our opinion, you have failed to comply with any provision of these Terms or if activities occur on your User Account which, in our sole discretion, would or might cause damage to or impair the Services or infringe or violate any third party rights, or violate any applicable laws or regulations.

MODIFICATIONS TO TERMS OF USE

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on our website prior to the effective date of the changes. Your continued use of the Services after the effective date of the modified Terms constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.

TERMINATION/MODIFICATION OF LICENSE AND CATALIS SERVICES

Notwithstanding any provision of these Terms, Catalis reserves the right, without notice and in its sole discretion, without any notice or liability to you, to (a) terminate your license to use the Services, or any portion thereof and the rights of any third party to which you have granted access to your User Content; (b) block or prevent your future access to and use of all or any portion of the Services; and (c) change, suspend or discontinue any aspect of the Services.

SEVERABILITY

If any provision of this Agreement, or the application thereof, is found invalid or unenforceable, that provision will be amended to achieve as nearly as possible the same effect as the original provision and the remainder of this Agreement will remain in full force.

GOVERNING LAW; WAIVER OF JURY TRIAL

This Agreement will be governed by and construed in accordance with the laws of the State of Georgia without reference to conflict of law provisions.  Any action, proceeding, litigation, or mediation relating to or arising from this Agreement must be brought exclusively in Fulton County, Alpharetta, Georgia.  THE PARTIES HEREBY KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVE ANY RIGHTS EITHER OF THEM MAY HAVE TO A TRIAL BY JURY AND CLASS ACTION IN RESPECT TO ANY CLAIM ARISING OUT OF, OR IN CONNECTION WITH THIS AGREEMENT.
